Policy: BDB
Board Officers

The officers of the School Board shall be a Chair, a Vice-Chair, and a Secretary. The officers shall be elected at the annual organization meeting to serve until the next annual organization meeting or until a successor is elected. Any vacancy in any of such offices may be filled at any meeting of the Board provided that all members of the Board have been notified prior to the meeting that the vacancy will be filled at such meeting. The Superintendent is the chief executive officer and an ex-officio member of the Board and shall be the Executive Secretary ex-officio.

The Chair’s role is to facilitate discussion among all members of the Board. The Chair shall preside at all meetings, may originate or second motions (yet customarily refrains from doing so while presiding), and has the right to vote on all matters before the School Board. Other duties of the Chair include but are not limited to the following:
  • Determine the agenda for each Board meeting, in consultation with the Superintendent.
  • Sign contracts and other instruments on behalf of the School Board, when authorized by the Board to do so.
  • Appoint an acting Secretary for meetings at which the Board Secretary is absent.
  • Appoint committees of Board members, and appoint committee chairs.
  • Select members of advisory committees, in consultation with the Board.
  • Serve as ex-officio member of all Board committees.
  • Present to the Board at the annual organization meeting the roster of standing and advisory committees to determine whether continuation of those committees is necessary or desirable.
  • Cancel or reschedule meetings for good cause, after consultation with Board members and the Superintendent.
  • Direct the Superintendent to call special meetings and/or emergency meetings of the Board, as necessary.
  • Maintain communication with the Superintendent, as needed.

The Vice-Chair shall have the powers and duties of the Chair in his/her absence or for the duration of the disability, and such other powers and duties as the School Board may from time to time determine.

The Secretary shall be responsible for Board correspondence when directed by the Chair, and, in the absence of a designated minutes-taker, shall maintain and publish the minutes of all School Board meetings.
